RENTAL AGREEMENT

🛡️ RENTAL EQUIPMENT WAIVER AND LIABILITY

The Renter assumes absolute responsibility and full liability for all rented equipment from the exact moment of delivery until our team retrieves it. This includes complete financial and legal responsibility for any loss, theft, damage, misuse, or injury resulting from the possession or use of the equipment, except as limited by Mississippi law for claims involving gross negligence or willful misconduct on the part of Vibe Event Company, LLC.

The Renter is solely responsible for ensuring that all gear is used in a safe, appropriate manner by themselves, their guests, event participants, third-party vendors, or venue staff. Vibe Event Company, LLC assumes zero liability for the actions or omissions of any third party.

Your complete responsibility for the equipment includes:

  • Protecting all inventory from theft, vandalism, and harsh weather elements.
  • Actively supervising the proper, safe use of all items.
  • Ensuring items are left clean, folded, and completely undamaged unless a specialized cleaning service package was explicitly purchased.

USE OF EQUIPMENT AND ASSUMPTION OF RISK

The Renter agrees to use all equipment strictly for its intended purpose and in accordance with all safety guidelines provided at delivery or listed on our website.

The Renter explicitly acknowledges that improper use of the equipment—including but not limited to overloading, placing gear on uneven or unstable surfaces, or failing to follow standard instructions—can result in serious bodily injury or property damage. The Renter understands that even proper use carries inherent risks and voluntarily assumes all such risks, including any potential bodily strain or injury. Vibe Event Company, LLC makes no representations or warranties regarding the absolute safety of the equipment under unmonitored or unique conditions.

While the Renter’s responsibilities include all safe operational practices, they specifically must enforce the following canopy rules:

  • Weather Evacuation: In the event of lightning, heavy downpours, or high winds, you must immediately evacuate all guests from underneath the pop-up canopy tents.
  • Fire Hazard Prevention: Under no circumstances shall an ash-producing fire, open flame, grill, or firework display be permitted within 200 feet of any canopy tent. Any canopy top found with burn marks or ash holes will result in an immediate charge to replace the entire tent top at current market value.
  • Clearance & Spacing: The area designated for your planned canopy setup must be clear of overhead branches or structures that could come into contact with the tent top.

🤝 INDEMNIFICATION AND RELEASE OF LIABILITY

To the absolute fullest extent permitted by Mississippi law, the Renter agrees to indemnify, defend, and hold harmless Vibe Event Company, LLC, its owners, employees, agents, and field crew from and against any and all claims, lawsuits, liabilities, losses, damages, injuries, expenses, and legal fees arising out of or resulting from the delivery, placement, use, misuse, or failure to properly supervise the equipment.

The Renter shall be fully liable for all expenses, personal injuries, property damages, and claims of any kind arising out of the possession or operation of the rented equipment. The Renter’s indemnity obligations remain fully active and survive the expiration or termination of this agreement. This comprehensive protection includes claims arising from the ordinary negligence of Vibe Event Company, LLC, its agents, or employees, but excludes claims arising from proven gross negligence or willful misconduct.

Vibe Event Company, LLC shall not be held liable for any accident, injury, loss of property, or damages of any kind related to the rental or use of its equipment, except as explicitly prohibited by Mississippi law.

📝 MISCELLANEOUS PROVISIONS

Vibe Event Company, LLC reserves the right to refuse, cancel, or terminate any order at its sole discretion due to safety concerns, incomplete information, suspected misuse, or violation of these Terms. In these rare cases, payments made—excluding the non-refundable deposit—will be refunded according to our standard policies.

  1. Governing Law & Jurisdiction: This Agreement shall be governed by, construed, and enforced strictly in accordance with the laws of the State of Mississippi. The Renter agrees that this contract may be executed electronically and shall be considered legally binding. Any legal disputes or claims must be resolved exclusively within the courts of DeSoto County, Mississippi. (This document can be requested in larger print formats if needed).
  2. Modifications: Vibe Event Company, LLC may update these terms at any time. The version active at the exact time of your reservation payment will govern your rental window.
  3. Severability: If any portion of this Agreement is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect.
  4. Entire Agreement and Acknowledgment: By signing below or electronically finalizing your checkout, the Renter affirms they are fully authorized to enter into this contract, have thoroughly read and understood its contents, and agree to be entirely bound by its terms.
